These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Vigilant Medical Solutions, LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of the Guardian Vitals platform, including all associated websites, mobile applications, APIs, and services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of a healthcare institution or organization, you represent that you have the authority to bind that organization to these Terms.
Guardian Vitals is a real-time vital sign monitoring platform that transmits patient data directly to authorized healthcare professionals, including anesthesiologists and clinical staff. The Service provides real-time alerts and notifications, multi-case monitoring from a single interface, configurable alert parameters and calibrations, SMS and email notifications tied to clinical outcomes, and cross-platform access on mobile and desktop devices.
The Service is a clinical decision-support tool. Guardian Vitals transmits and displays vital sign values without clinical interpretation. The Service does not provide medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the sole responsibility of the licensed healthcare professional.
The Service is intended for use by licensed healthcare professionals and authorized personnel at healthcare institutions. To use the Service, you must be a licensed healthcare professional or authorized staff member at a subscribing facility, at least 18 years of age, and capable of entering into a binding legal agreement.
You agree to provide accurate, current, and complete information during registration, maintain the security and confidentiality of your login credentials, notify us immediately of any unauthorized access to your account, and accept responsibility for all activity that occurs under your account.
You agree to use the Service only for its intended purpose of clinical vital sign monitoring by authorized healthcare professionals, in compliance with all applicable federal, state, and local laws and regulations including HIPAA, in accordance with your institution’s policies and procedures, and consistent with accepted standards of medical practice.
You agree not to use the Service in any manner that violates applicable law or regulation, including HIPAA and state privacy laws. You shall not access or attempt to access accounts, data, or systems that you are not authorized to use, share your login credentials with unauthorized individuals, reverse engineer, decompile, or disassemble any part of the Service, interfere with or disrupt the integrity or performance of the Service, use the Service to transmit malicious code, viruses, or harmful content, use the Service for any purpose other than authorized clinical monitoring, or remove, alter, or obscure any proprietary notices or labels on the Service.
The Service, including all software, content, designs, trademarks, and documentation, is the exclusive property of Vigilant Medical Solutions, LLC and is protected by intellectual property laws. Guardian Vitals and associated logos are trademarks of Vigilant Medical Solutions, LLC.
Your use of the Service does not grant you any ownership rights in the Service or its content. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and any applicable subscription agreement.
We recognize that use of the Service may involve Protected Health Information (PHI) as defined under HIPAA. Our obligations regarding PHI are governed by Business Associate Agreements (BAAs) executed with covered entities.
You acknowledge that you are responsible for ensuring that your use of the Service complies with HIPAA and all applicable privacy and security regulations. You shall not input, transmit, or store data through the Service in a manner that violates HIPAA or the terms of any applicable BAA.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure, that any defects will be corrected, that the Service will meet your specific requirements, or that data transmitted through the Service will be delivered without delay.
CLINICAL DISCLAIMER: Guardian Vitals is a monitoring and alerting tool. It does not replace professional medical judgment. All clinical decisions, including those related to anesthesia management and patient care, remain the sole responsibility of the treating healthcare professional. The Service transmits and displays data without clinical interpretation.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIGILANT MEDICAL SOLUTIONS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Nothing in these Terms is intended to limit liability that cannot be limited by law, including liability for gross negligence, willful misconduct, or fraud.
You agree to indemnify, defend, and hold harmless Vigilant Medical Solutions, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use or misuse of the Service, your violation of these Terms, your violation of any applicable law or regulation, your violation of any third-party rights, or any clinical decisions made using information provided by the Service.
Access to the Service may require a paid subscription. Fees, billing terms, and payment schedules are set forth in your applicable subscription or service agreement. We reserve the right to modify pricing with reasonable advance notice.
Failure to pay applicable fees may result in suspension or termination of your access to the Service.
These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. You may stop using the Service at any time.
Upon termination, your right to access the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue in full force and effect.
We reserve the right to modify, update, or discontinue any aspect of the Service at any time, with or without notice. We may also update these Terms from time to time. When we make material changes, we will revise the “Last Updated” date and, where required, provide additional notice.
Your continued use of the Service after changes to these Terms constitutes your acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Texas. Each party shall bear its own costs associated with arbitration.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
Entire Agreement: These Terms, together with the Privacy Policy and any applicable subscription agreements or BAAs, constitute the entire agreement between you and the Company regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, network or infrastructure failures, or pandemics.
